Nscale, a British neocloud focused on artificial-intelligence infrastructure, announced a $3.36 billion financing package structured as a convertible note. The capital raise comes as the company readies an initial public offering slated for later this year, highlighting the scale of investment needed for large-scale AI data-center construction.
The round was spearheaded by hedge fund Third Point, which committed $2.36 billion that the company can draw immediately. An additional $1 billion is slated to arrive from existing backer Nvidia in mid-November, with the convertible notes set to turn into equity once the IPO is completed.
Nscale filed its IPO paperwork last week and, according to the Financial Times, is expected to be valued at roughly $35 billion on the New York Stock Exchange. Bloomberg reports the firm aims to raise $3 billion through the offering, positioning it among the most heavily capitalised AI-focused listings this year.
The company emerged two years ago after being spun out of Australian cryptocurrency-mining firm Arkon Energy. Its IPO filing indicates that Nscale has already secured more than $103 billion in contracts, reflecting rapid growth in demand for AI-optimized compute capacity across multiple sectors.
Current development projects include several large data-center campuses, with sites under construction in Norway and West Virginia. These facilities are intended to provide the high-density, low-latency compute resources required for next-generation generative AI models and other intensive workloads.
